These terms and conditions are applicable to all Web Development projects that are undertaken by placing an order with the Industrial Information Network (IIN), You confirm that you are in agreement with and bound by the terms and condition below given.

A copy of these terms and conditions shall be submitted to client and must be agreed prior to the commencement of work. Payment of an advance fee shall be deemed to terms and conditions.

Client will review the appearance and content of the Web site during the design and once they are completed. At the completion of the project, such content will be deemed to be accepted and approved unless the Client notifies IIN by email or written otherwise within ten (10) days of the date the content is made available to the Client.

The duration of this agreement shall be subject to the schedule time specified within the package selected by client.

Project Schedule and Content Control

IIN will install and publicly post or supply the Client's Web site by the date specified in the project proposal.

An alternate timescale can be agreed during the initial project discussion. In return, the Client agrees to delegate a single individual as 'first-point-of-call' to aid IIN for completing the project in a satisfactory and expedient manner. During the project, IIN will require the Client to provide content material and images. If content is not provided within 3 days of an official email will be sent to Client by IIN.

IIN reserves the right to refuse to handle in any way, content which may appear offensive, illegal or controversial.

Payment

A Demand draft for the entire payment in the name of SMEDA will be send in advance prior to 3 days of the commencement of work.

Termination of the Web Development project by the Client must be requested in writing and will be effective on receipt of Memo at least 7 days before end date of project. E-mail or telephone requests for termination of services will not be honoured unless confirmed in writing. There shall be no reimbursement of fees to the client in the project that the web development project is terminated by client

Copyright

The Client retains the copyright to data, files and graphic logos provided by the Client, and grant IIN the rights to publish and use such material.

The Client must obtain permission and rights to use any information or files that are copyrighted by a third party. The Client is further responsible for granting IIN permission and rights for use of the same and agrees to indemnify and hold harmless IIN from any and all claims resulting from the Client's negligence or inability to obtain proper copyright permissions.

An acceptance of the website development terms &conditions shall be regarded as a guarantee by the Client to IIN that all such permissions and authorities have been obtained. Evidence of permissions and authorities may be requested by the IIN.

Media Delivery Requirements

Unless otherwise specified in writing, any text provided by the Client will be in electronic format (ASCII text files delivered via e-mail, CD-Rom, DVD, or FTP) and that all photographs and other graphics will be provided physically in high quality print suitable for scanning or electronically in .gif, .jpeg, .png or .tiff format. The specific requirements will be discussed and agreed with the Client prior to commencement of the project. Although every reasonable attempt shall be made by IIN to return to the Client any images or printed material provided for use in creation of the Client's Web site, such return cannot be guaranteed.

Client's Web site will be installed on a third-party server, IIN must be granted temporary read/write access to the Client's storage directories, and those directories must be accessible via FTP. Depending on the specific nature of the project, other resources might also need to be configured on the server.

IIN cannot accept responsibility for any alterations caused by the Client or a third party occurring to the Client's pages once installed. Such alterations include, but are not limited to additions, modifications or deletions.

IIN can purchase domain names on behalf of the Client on special requests, otherwise it's the responsibility of the client to purchase domain name and give the access to IIN to upload the data n server.

IIN will provide 1 month after sale service after the development of website. After one month any changes in website will have additional charges.

General

The Client's signature below or payment of an advance fee constitutes agreement to and acceptance of these Terms and Conditions.
IIN shall be a appropriately acknowledged within the website and associate documentation as designers and software creation of the website design/development.

Indemnity

Whilst every Endeavour shall be made to ensure that the website and its related scripts and programs are free of errors.IIN cannot accept any responsibility for any losses incurred by the client due to the malfunction of the website or any part of it.
